Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the RB DesignTech website located at rbdesigntech.com (the “Site”), and any related services, proposals, or client engagements (collectively, the “Services”) offered by RB DesignTech (“RB DesignTech,” “we,” “us,” or “our”).

By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or engage our Services. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Services

RB DesignTech provides technology consulting and product-development services, including but not limited to: custom AI agents and automation, real-world asset tokenization, IoT and smart-device engineering, and end-to-end product development. Specific scope, deliverables, timelines, and fees for any engagement are set out in a separate signed proposal, statement of work, or master services agreement (“Engagement Document”), which forms part of the agreement between you and RB DesignTech alongside these Terms.

Where these Terms conflict with an executed Engagement Document, the Engagement Document controls for that specific engagement.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party. Prohibited activities include, without limitation:

  • Attempting to gain unauthorized access to the Site, our systems, or any connected network;
  • Introducing viruses, malware, or other harmful code;
  • Scraping, data-mining, or automated collection of content without our prior written consent;
  • Impersonating any person or entity, or misrepresenting your affiliation with any person or entity;
  • Using the Site's AI voice or chat assistant to submit unlawful, abusive, or fraudulent content.

4. Intellectual Property

Unless otherwise stated in an Engagement Document, all content on the Site — including text, graphics, logos, the RB DesignTech name and marks, software, and design — is the property of RB DesignTech or its licensors and is protected by applicable intellectual-property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without our prior written permission.

Ownership of deliverables produced under a specific client engagement (e.g., custom software, AI agent configurations, product designs) is governed by the applicable Engagement Document. Absent a contrary written agreement, RB DesignTech retains ownership of its pre-existing tools, frameworks, and proprietary methodologies used to deliver the Services, and grants the client a license to use them solely as embedded in the delivered work product.

5. Client Engagements & Deliverables

Each client engagement is scoped through a discovery process and documented in an Engagement Document specifying deliverables, milestones, acceptance criteria, and timeline. Timelines are estimates based on information available at the time of scoping and may shift based on client responsiveness, scope changes, or third-party dependencies.

Change requests outside the original scope may require a written change order and may affect fees and timeline.

6. Payment Terms

Fees, invoicing schedules, and accepted payment methods are set out in the applicable Engagement Document. Unless stated otherwise, invoices are due within fifteen (15) days of receipt. Late payments may result in suspension of Services until the account is brought current. See our Refund Policy for cancellation and refund terms.

7. Confidentiality

Each party agrees to protect the other's confidential information disclosed in connection with an engagement using at least the same degree of care it uses for its own confidential information of similar nature, and not to disclose it to third parties except as required to perform the Services or as required by law. This obligation survives the termination of any engagement.

8. AI Voice & Chat Assistant

The Site includes an AI-powered voice and chat assistant (“AI Assistant”) intended to answer general questions about RB DesignTech and capture inquiries. The AI Assistant is not a substitute for professional advice, and its responses may occasionally be inaccurate or incomplete. See our Disclaimers for more detail. By using the AI Assistant, you consent to your voice input, transcripts, and chat messages being processed as described in our Privacy Policy.

9. Disclaimer of Warranties

The Site and its content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the fullest extent permitted by law, RB DesignTech and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Site or the Services, even if advised of the possibility of such damages. Our total aggregate liability arising out of or related to these Terms or an Engagement Document shall not exceed the fees paid by you to RB DesignTech for the Services giving rise to the claim in the twelve (12) months preceding the event.

11. Indemnification

You agree to indemnify and hold harmless RB DesignTech and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Site or Services.

12. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California, unless otherwise agreed in an Engagement Document.

13. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Material changes will be reflected on this page; continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
